Your use of Clinical Partner services is governed by the Clinical Partner’s terms, privacy notices and applicable consent documents. 3.4 Product Safety, Recalls, and Safety Notifications

5. Orders, Payments, Subscriptions, and Promotions

5.1 Orders and Pricing

All product orders are subject to availability. We reserve the right to limit quantities, refuse orders, or cancel orders at our discretion. In the event of a pricing error on the Website, we reserve the right to correct the error prior to order fulfillment. If your order has already been confirmed and a pricing error is later identified, we will notify you of the correct price and give you the opportunity to confirm the purchase at the correct price or cancel your order for a full refund. We will not unilaterally charge you an amount greater than what was displayed at the time of your purchase confirmation without your affirmative consent.

If a payment is declined, we may attempt to process the charge again. We are not responsible for any fees your bank or card issuer may assess.

5.3 Automatic Renewal and Cancellation

Certain products may be offered on an automatically renewing subscription basis. Before you enroll, we will clearly disclose the subscription price, billing frequency, automatic-renewal terms, cancellation method and any applicable promotional period. By enrolling, you authorize recurring charges until cancellation. You may cancel through your account settings or by contacting us at sales@tru2u.health. Consumers who enroll online may cancel online. We will provide any confirmation, renewal, promotional-end or price-change notices required by applicable law. Cancellation takes effect as disclosed at enrollment and does not affect charges already properly incurred, except where a refund is required by law..

5.4 Promotions, Discount Codes, and Loyalty Programs

From time to time, we may offer discount codes, referral credits, promotional pricing, or loyalty reward programs (collectively, “Promotions”). The following terms apply to all Promotions:

Promotions are subject to the specific terms and conditions stated at the time of offer, including any expiration date, minimum purchase requirement, product eligibility restrictions, or limit of one per customer.
Promotions have no cash value and may not be combined with other offers unless expressly stated.
Referral credits are awarded only upon completion of a qualifying purchase by the referred party and are subject to reversal if the qualifying purchase is returned or charged back.
We reserve the right to modify, suspend, or discontinue any Promotion at any time without notice, provided that any Promotion already redeemed will be honored.
Abuse of Promotions, including but not limited to creating multiple accounts to obtain additional credits or using automated means to generate referral codes, constitutes a violation of these Terms and may result in account termination and forfeiture of all credits.

5.5 Shipping and Delivery

We ship products within the United States to the address you provide at checkout. Delivery times are estimates only and are not guaranteed. Risk of loss or damage passes to you upon delivery of the product to the shipping address you provided, except as otherwise required by applicable law.

We are not responsible for delays or failures in delivery caused by circumstances beyond our reasonable control, including but not limited to carrier delays, weather events, or address errors provided by you.

It is your responsibility to provide an accurate and complete shipping address. We are not responsible for products delivered to an incorrect address you provided.

6. Returns and Refunds

Due to the nature of our skincare and supplement products (personal care items), we generally do not accept returns of opened or used products. However, if you receive a product that is damaged, defective or incorrect, please contact us within 14 days of receipt. We will provide a replacement, refund or other remedy as appropriate under applicable law.

For unopened products in original packaging, you may request a return within 30 days of delivery. Return shipping costs are the responsibility of the customer unless the product is defective or we made an error.

Refunds, if approved, will be issued to your original payment method within 5–10 business days of our receipt and inspection of the returned product. We reserve the right to deny refunds for products that are returned in unsellable condition or outside of the return window.

Subscription charges that have already been processed are generally non-refundable except as described above or as required by applicable law.

Nothing in this Return Policy limits any rights you may have under applicable state law.

Nothing in these Terms is intended to limit, waive, or restrict any non-waivable consumer rights or remedies available under applicable Oregon law, including the Oregon Unlawful Trade Practices Act (“UTPA”) and the Oregon Consumer Privacy Act (“OCPA”). To the extent required by applicable law, consumers may be entitled to certain notices, opportunities to cure, refunds, or other statutory remedies that cannot be disclaimed by contract. You agree to defend, indemnify, and hold harmless Tru2u.health and its officers, directors, employees, agents, contractors, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your unlawful use of or access to the Website;
Your violation of these Terms;
Your violation of any applicable law or regulation;
Your violation of any third-party right, including intellectual property or privacy rights;
Any content or information you submit to or through the Website, including any User Content;
Any misrepresentation you make, including false statements about your age or identity; or
Your use of any third-party services, including CareValidate’s services.

We reserve the right to assume exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You will not settle any claim that affects our rights without our prior written consent.

19. Governing Law and Venue

For disputes not subject to arbitration, the parties consent to jurisdiction in the state or federal courts located in Oregon, except where applicable law permits a consumer to bring a claim in another forum.

20. Binding Arbitration and Class Action Waiver

20.1 Agreement to Arbitrate

Except as provided below, you and Tru2u.health agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or our products and services (collectively, “Disputes”), that is not resolved informally, shall be resolved by final and binding individual arbitration, rather than in court.

20.2 Informal Resolution First

Before initiating arbitration, you agree to contact us at sales@tru2u.health and describe your dispute in reasonable detail. We will work in good faith to try to resolve the dispute informally within 30 days. If we cannot resolve the dispute informally within that period, either party may proceed to arbitration.

20.3 Arbitration Rules

Arbitration Agreement
Arbitration shall be administered by the American Arbitration Association (‘AAA’) under its Consumer Arbitration Rules then in effect. Tru2u.health will pay arbitration fees and costs to the extent required by those rules or applicable law. The arbitration shall be conducted by a single neutral arbitrator, and judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. The Federal Arbitration Act shall govern the interpretation and enforcement of this arbitration provision.

To the extent permitted by applicable law, the arbitration shall take place in Oregon, or at a location mutually agreed upon by the parties or permitted by the applicable rules.

 

20.4 Class Action Waiver

YOU AND TRU2U.HEALTH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. NEITHER YOU NOR TRU2U.HEALTH MAY PARTICIPATE IN CLASS-WIDE ARBITRATION.

20.5 Exceptions

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court’s jurisdiction. Either party may also seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.

20.6 Opt-Out

You may opt out of this arbitration agreement within 30 days of first agreeing to these Terms by sending a written notice to:

21. Notice to California Residents

California Automatic Renewal Notice
For California residents, subscriptions and automatically renewing services are offered in compliance with applicable California laws, including California’s Automatic Renewal Law (“ARL”). By enrolling in a recurring subscription, you acknowledge and agree to the applicable recurring billing terms, cancellation procedures, and renewal disclosures presented at the time of purchase. California consumers who enroll in an automatic-renewal or continuous-service offer online may cancel online, without steps that obstruct or delay termination, as required by applicable law. We will provide required enrollment disclosures, acknowledgments, renewal notices, promotional-period notices and material-change notices.

22. Termination

We may suspend or terminate your account or access to the Website for violation of these Terms, suspected fraud, security concerns or other legitimate business reasons. Termination does not affect previously accrued rights, outstanding refund obligations or other rights that cannot be waived under applicable law.

Upon termination, your right to use the Website will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation: intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution provisions.

23. General Provisions

23.1 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Shipping Policy, Return and Refund Policy, and any additional terms expressly accepted by you, constitute the entire agreement between you and Tru2u.health regarding the Website and purchases made through it.

23.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.

23.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Tru2u.health.

23.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms at any time without notice to you, including in connection with a merger, acquisition, or sale of assets.

23.5 No Agency

Nothing in these Terms creates any partnership, joint venture, employment, franchise, or agency relationship between you and Tru2u.health, or between Tru2u.health and the Clinical Partner.

23.6 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, governmental action, internet outages, or supply chain disruptions. We will make commercially reasonable efforts to fulfill outstanding orders or issue refunds when fulfillment is impossible.

23.7 Headings

Section headings in these Terms are for convenience only and shall have no legal effect.
